Why property projects need connected legal advice
Ownership, construction, financing and occupation decisions affect one another. A clause agreed at acquisition can limit a later development or sale. We organise the legal work around the project's commercial objective so owners and investors can identify the decisions, documents and counterparties requiring attention before obligations accumulate.
Businesses, investors and relevant individuals
Property developers, construction businesses, landowners, commercial occupiers and investors considering a Turkish property transaction. Individuals buying, selling or inheriting property can also seek advice on the specific ownership, contract or dispute issue affecting them.
Tell us whether you are planning a new project, reviewing a transaction, managing an existing relationship or responding to a dispute. Where parties have competing interests, the lawyer must check conflicts before advice is accepted. The engagement identifies the client, responsible lawyer and work to be undertaken, with separate scopes for different parties or projects where appropriate.
Legal issues in real estate & construction
Acquisition and ownership records
Review begins with the correct parcel, current ownership and the proposed transaction. Contract wording should be considered alongside available title records and the seller's authority. A payment schedule or brochure is not a substitute for understanding the rights and obligations the buyer is accepting.
Development and construction agreements
Projects need clear provisions on the work, variations, delivery, acceptance and payment. Landowner–developer arrangements can add questions about allocation, security and future transfers. The legal review should identify which promises are documented and which depend on technical reports or later approvals.
Delay, defects and payment disputes
A delay claim and a defect complaint need different evidence. Preserve the agreed programme, variations, invoices, handover documents and dated communications. Before remedial work changes the physical evidence, discuss whether technical input or an evidence-preservation step should be considered.
Commercial occupation and redevelopment
A lease, existing occupier or redevelopment proposal can affect an investment's intended use. Review possession arrangements and notices before treating a property as immediately available. Urban transformation also needs project-specific legal and technical assessment; it should not be reduced to a standard contract.
From market entry to operations, investment and exit
Set up or acquire the project
Review the ownership and development structure, land or premises records, material contracts and proposed allocation of risk. Identify what must be checked before a deposit, partnership commitment or construction instruction. Legal and technical due diligence should have clear responsibilities and reporting lines.
Manage development and occupation
Maintain contract and variation records, review proposed amendments and address notices, payment and delivery questions as they arise. Ongoing advice can connect commercial leases, contractor relationships and owner decisions rather than wait until a dispute has become a formal claim.
Invest, restructure or exit
A project investment needs a defined due-diligence scope, decision rights, funding obligations and a workable exit arrangement. Review the documents supporting valuation assumptions and identify unresolved rights or disputes. Financial modelling and technical assurance remain separate specialist functions.
Individuals, owners and partners with a specific problem
An individual buyer may need a purchase review or advice about delayed delivery; an owner may face a tenancy or title dispute. We assess that person's rights and objective under a separate engagement, with a conflict check where a developer or business is also involved.
Tell us who the client would be and whose interests the advice should protect. A company, its shareholders and its customers can have different legal positions; a common business connection does not remove a conflict of interest.
An investor considering a share in a development business can ask for a review of ownership records, project contracts, decision rights and exit terms before signing. This illustrates a possible instruction, not a completed client matter.
Connect the sector issue to the right legal service
Use the service pages below to explore the proposed work, documents and next steps. Your engagement should identify which parts of the project are included, which require additional expertise and which remain your business decisions.

Ongoing Corporate Legal Counsel

Mergers & Acquisitions
Define investment or acquisition due diligence, transaction documents and specialist workstreams.
Agree the boundaries. An initial consultation does not automatically include document drafting, negotiations, filings or proceedings. Technical, accounting, valuation, specialist regulatory and foreign-law work must be identified and expressly agreed where relevant.
A retained legal contact for your real estate & construction business
Businesses can seek a recurring engagement for the legal work they need regularly, alongside separate instructions for major projects. The starting point is your operating model, recurring contracts, decision-makers and current legal concerns. The appointed lawyer confirms the scope, reporting arrangements and professional responsibilities before the engagement begins.
Commercial and operational follow-up
- Review agreed categories of customer, supplier and business contracts.
- Support negotiations, proposed amendments and formal correspondence within scope.
- Assess recurring legal questions and identify matters needing a separate project.
Governance and legal escalation
- Review authority, corporate decisions and relevant internal legal documents.
- Maintain an agreed list of legal actions, documents and outstanding questions.
- Assess notices, complaints and dispute options with appropriate urgency.
Make the working arrangement practical
Identify who can instruct the lawyer, who approves business decisions and how documents will be shared. Agree the covered legal areas, expected document volume, meeting arrangements, reporting and fee basis. A retainer should explain how new tasks are accepted and how additional work is authorised; it does not mean unlimited availability or an automatic response-time promise.
Litigation, arbitration, appeals, acquisitions, specialist regulatory applications and foreign-law work are included only where expressly agreed. Official charges, experts, translation, accounting and other external costs are separately identified. Technical and operational implementation remain with the responsible business team or appropriate specialist.
Explore ongoing corporate legal counsel ↗Experience, confidentiality and service scope
The service descriptions and example instruction explain the proposed legal scope. They are not accounts of completed client engagements, and no anonymised completed-matter case study is presented here.
When discussing a proposed engagement, ask which lawyer would be responsible, whether the relevant capability is available and what additional professional input is required. Any experience information shared must be accurate and respect confidentiality; it should not imply a promised result for another matter.
Private editorial review: completed-matter examples require documentary verification, a confidentiality review and permission where necessary before publication. No client names, results, transaction values or sector credentials have been invented.
Foreign businesses entering or operating in Türkiye
Foreign investors should explain the proposed owner, funding structure and intended use before entering a commitment. Authority documents, company records and records issued abroad may need assessment for their intended Turkish use. A property purchase and an immigration or citizenship application are separate legal questions.
Legal due diligence does not replace valuation, engineering, structural inspection or tax advice. Where a project connects several countries, confirm the Turkish-law scope, any foreign counsel and who coordinates the technical and financial work. No valuation, approval or risk-free investment is promised.
Identify the parties
Confirm the legal entities, roles, countries and authority of the people giving instructions or signing documents.
Connect the documents
Review complete versions, schedules and related agreements. Flag inconsistent translations and missing records.
Allocate responsibilities
Agree the Turkish-law scope and who handles foreign advice, official processes and any specialist work.
Questions about real estate & construction legal assistance
Should a property contract be reviewed before a deposit?
Early review allows the appointed lawyer to assess the proposed obligations before commitment. If a payment has already been made, provide the signed documents and receipts so the existing position can be considered.
Does legal due diligence certify building safety?
No. Technical condition, structural safety and valuation require appropriate specialists. Agree which legal records are covered and how technical findings will be coordinated.
Can a foreign buyer begin the assessment online?
An initial consultation and document review can be online. Completion steps, original documents, authority and any personal participation must be checked for the actual transaction.
Can we retain you as external legal counsel?
A recurring engagement can be considered after the business needs, conflicts and responsible lawyer are confirmed. Agree the covered areas, expected volume, communication and approval process. Major projects, litigation, appeals, foreign-law work and external costs are included only where expressly agreed.
Can an individual or business partner seek separate advice?
Yes, a defined agreement or dispute can be assessed subject to conflicts and capability. Clarify whether the client is the company, a shareholder, investor, owner or individual. The lawyer cannot represent opposing interests in the same matter.
