Why hospitality needs legal support throughout its life cycle
A successful opening does not end the legal work. Premises, permissions, brands, operators, staff, suppliers and guests create connected obligations. We help owners and investors organise those relationships and address legal decisions throughout setup, operation, expansion and dispute management.
Businesses, investors and relevant individuals
Hotel owners, operators, hospitality investors, restaurant businesses, travel-related businesses and commercial landlords. Relevant individuals may include property owners entering an operating arrangement or investors reviewing a proposed acquisition. A separate consumer or guest dispute can be assessed on its own facts.
Tell us whether you are planning a new project, reviewing a transaction, managing an existing relationship or responding to a dispute. Where parties have competing interests, the lawyer must check conflicts before advice is accepted. The engagement identifies the client, responsible lawyer and work to be undertaken, with separate scopes for different parties or projects where appropriate.
Legal issues in tourism & hospitality
Hotel leases and premises
Review permitted use, term, rent, improvements, repair obligations, security and exit arrangements. The proposed operation should be compared with available property records and official documents. A lease alone should not be described as confirmation that every aspect of the hospitality activity is authorised.
Management, brand and operating agreements
Identify the owner's and operator's obligations, authority, reporting, fees and responsibility for costs. Brand, reservation and technology arrangements may create additional commitments. Termination and transition terms should address the practical ability to continue the business and access necessary records.
Suppliers, staffing and customer terms
Procurement, maintenance, catering and service agreements should define performance and payment. Staffing arrangements and employment questions may require a separately confirmed specialist review. Customer-facing terms, booking arrangements and complaints should be assessed against the business model rather than copied from another operator.
Licensing questions and commercial disputes
Legal support can review the available permission records, authority correspondence and proposed regulatory questions within a confirmed capability. Operational, technical and inspection requirements need appropriate input. Disputes over fees, rent, supply or contract exit should be connected to the actual agreement and evidence.
Airbnb and short-term tourism rentals
Airbnb-style letting needs an assessment of the property, proposed rental model and permit position before operation. Türkiye’s tourism-rental framework covers rentals of up to 100 days per contract and requires a permit before the covered rental agreement is made. The current property-specific conditions, building arrangements and any exceptions must be checked; a platform listing is not a permit.
Hotels and resorts: from opening to operation
For a new opening or acquisition, connect company setup, property or lease rights, brand arrangements and available official records. Identify the relevant operating-certificate and local permission questions before committing to an opening date. Legal support can coordinate the agreed documentary work; design, fire, safety, technical and other specialist assessments remain with the appropriate providers.
Travel agencies, tours and tourism services
A travel-agency project should distinguish corporate formation from the agency operating-document process and TÜRSAB-related steps. Review the proposed activity, operator, agency agreements, supplier terms, bookings and customer documents. A tour organiser, accommodation provider and online intermediary may play different roles; the scope should reflect the actual model and current official requirements.
Governance, compliance and ongoing operations
Owner, operator and manager authority should be clear, including signature powers, budgets, reporting and approvals. A recurring legal scope can cover commercial agreements, legal notices, guest complaints and identified compliance questions. Staffing, work permissions, tax and sector-regulatory work need express allocation rather than an assumption of unlimited coverage.
Guest, booking and owner disputes
Cancellation, payment, accommodation complaints, rental-management conflicts and partner disagreements need the actual booking terms, correspondence and records. Determine whether the instruction concerns a consumer, commercial, property or other issue. Acting for a hotel or operator does not permit the same lawyer to advise an opposing guest in that dispute.
From market entry to operations, investment and exit
Open, acquire or take over the operation
Identify whether the project is a hotel, resort, restaurant, travel agency or tourism rental. Review the proposed entity, property, lease, acquisition documents and available permission records. Build the legal work around the actual activity and distinguish corporate setup from operational authorisations.
Operate with clear contracts and decision-making
Document owner and operator authority, commercial approvals, supplier commitments, guest terms and complaint handling. A scoped legal review can identify governance and compliance priorities while technical, tax, employment and sector-regulatory work is assigned to the appropriate professionals.
Grow, franchise, invest or exit
Review brand and franchise terms, management fees, capital commitments, reporting rights and exit mechanisms. Investors should understand whether they acquire property, shares or an operating business, and which contracts or permissions need further assessment. A projected occupancy or return is not a legal assurance.
Individuals, owners and partners with a specific problem
A guest may dispute a booking, an owner may have a rental-management problem, or a partner may question the operation's accounts or authority. Each instruction is assessed independently, including any conflict with an existing operator client and the relevant consumer or commercial route.
Tell us who the client would be and whose interests the advice should protect. A company, its shareholders and its customers can have different legal positions; a common business connection does not remove a conflict of interest.
A property owner planning short stays through an online platform can ask for an assessment of the property records, building arrangements, permit questions and management contract before listing. This is an example instruction, not a claim of a completed client engagement.
Connect the sector issue to the right legal service
Use the service pages below to explore the proposed work, documents and next steps. Your engagement should identify which parts of the project are included, which require additional expertise and which remain your business decisions.
Commercial Contracts & Legal Review
Review hotel management, supplier, operating and other commercial agreements.
Property Due Diligence & Transactions
Assess the agreed legal property checks for a hotel acquisition or premises transaction.
Landlord–Tenant Disputes & Eviction
Review commercial leases, notices and occupation-related disputes.
Mergers & Acquisitions
Scope legal due diligence and transaction documents for an investment or acquisition.
Civil & Commercial Litigation
Assess claims, defence, evidence and settlement options arising from the operation.
Ongoing Corporate Legal Counsel
Agree a recurring scope for contracts, corporate decisions, legal follow-up and dispute escalation.
Company Formation & Market Entry
Assess the business setup and identify separate sector-specific permissions and professional responsibilities.
Agree the boundaries. An initial consultation does not automatically include document drafting, negotiations, filings or proceedings. Technical, accounting, valuation, specialist regulatory and foreign-law work must be identified and expressly agreed where relevant.
A retained legal contact for your tourism & hospitality business
Businesses can seek a recurring engagement for the legal work they need regularly, alongside separate instructions for major projects. The starting point is your operating model, recurring contracts, decision-makers and current legal concerns. The appointed lawyer confirms the scope, reporting arrangements and professional responsibilities before the engagement begins.
Commercial and operational follow-up
- Review agreed categories of customer, supplier and business contracts.
- Support negotiations, proposed amendments and formal correspondence within scope.
- Assess recurring legal questions and identify matters needing a separate project.
Governance and legal escalation
- Review authority, corporate decisions and relevant internal legal documents.
- Maintain an agreed list of legal actions, documents and outstanding questions.
- Assess notices, complaints and dispute options with appropriate urgency.
Make the working arrangement practical
Identify who can instruct the lawyer, who approves business decisions and how documents will be shared. Agree the covered legal areas, expected document volume, meeting arrangements, reporting and fee basis. A retainer should explain how new tasks are accepted and how additional work is authorised; it does not mean unlimited availability or an automatic response-time promise.
Litigation, arbitration, appeals, acquisitions, specialist regulatory applications and foreign-law work are included only where expressly agreed. Official charges, experts, translation, accounting and other external costs are separately identified. Technical and operational implementation remain with the responsible business team or appropriate specialist.
Explore ongoing corporate legal counsel ↗Experience, confidentiality and service scope
The service descriptions and example instruction explain the proposed legal scope. They are not accounts of completed client engagements, and no anonymised completed-matter case study is presented here.
When discussing a proposed engagement, ask which lawyer would be responsible, whether the relevant capability is available and what additional professional input is required. Any experience information shared must be accurate and respect confidentiality; it should not imply a promised result for another matter.
Private editorial review: completed-matter examples require documentary verification, a confidentiality review and permission where necessary before publication. No client names, results, transaction values or sector credentials have been invented.
Foreign businesses entering or operating in Türkiye
A foreign owner, international brand and local operator may have different expectations about control, reporting and liability. Identify all contracting entities and compare bilingual documents, signature authority and dispute clauses. Corporate structure, work permission and property ownership should be assessed as separate questions where relevant.
Licensing support does not mean the lawyer issues an operating certificate or certifies premises compliance. Confirm the relevant authority, technical advisers and responsible provider before substantive regulatory work is agreed. Tax, accounting, employment and foreign-law advice must be included expressly or separately commissioned.
Identify the parties
Confirm the legal entities, roles, countries and authority of the people giving instructions or signing documents.
Connect the documents
Review complete versions, schedules and related agreements. Flag inconsistent translations and missing records.
Allocate responsibilities
Agree the Turkish-law scope and who handles foreign advice, official processes and any specialist work.
Questions about tourism & hospitality legal assistance
Can you review a hotel lease or management agreement?
A defined review can consider the parties' obligations, commercial control, payment, risk allocation and exit terms. Provide all schedules and related brand or operating agreements.
Does buying a hotel business transfer all permissions?
Do not assume that a transaction automatically resolves each permission question. The business structure, activity, records and authority requirements need an individual assessment.
Can employment and licensing questions be included?
They can be raised at the initial assessment. The appointed lawyer must confirm the relevant expertise, available specialist input and agreed scope before those workstreams are accepted.
Can you help assess an Airbnb-style rental before listing?
The proposed assessment can cover the property and management documents, the rental model and relevant permit questions. A platform account or listing does not establish the required authorisation. Property-specific conditions need review.
Can you support a hotel or resort from setup through operation?
The engagement can be structured around setup or acquisition, commercial contracts, corporate governance and recurring legal advice. Regulatory, employment, technical and other specialist work must be identified and expressly included or separately assigned.
Is forming a company enough to operate a travel agency?
Corporate formation and the travel-agency operating-document process are distinct. The proposed activities and current Ministry and TÜRSAB requirements must be assessed before operational advice or application work is accepted.
Can we retain you as external legal counsel?
A recurring engagement can be considered after the business needs, conflicts and responsible lawyer are confirmed. Agree the covered areas, expected volume, communication and approval process. Major projects, litigation, appeals, foreign-law work and external costs are included only where expressly agreed.
Can an individual or business partner seek separate advice?
Yes, a defined agreement or dispute can be assessed subject to conflicts and capability. Clarify whether the client is the company, a shareholder, investor, owner or individual. The lawyer cannot represent opposing interests in the same matter.
